Terms of Service

These Terms of Service ("Terms") govern your use of SaleKeep ("the Service"), operated by [Company Name] ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service Does

SaleKeep is a workflow tool. It helps your team request, collect, review, and organize tax-exempt customer certificate documentation. Your team members, not SaleKeep, decide whether to accept or reject submissions. The Service records those decisions and organizes the resulting documents for audit response.

2. What the Service Does Not Do

SaleKeep does not provide tax advice, legal advice, or accounting services. The Service does not calculate taxes, determine nexus, file returns, or make legal determinations about any document. It does not automatically assess whether any certificate is sufficient for any particular tax exemption or audit scenario. Human reviewers on your team make all acceptance, rejection, and correction decisions. SaleKeep records those decisions. It does not make them.

3. Eligibility

The Service is available to users in the United States. By creating an account, you confirm that you are using the Service from the United States. You must be at least 18 years old and have the authority to bind the entity on whose behalf you use the Service.

4. Accounts and Workspaces

You sign in using a magic link sent to your email address. Each workspace has an owner (the person who created it) and may have additional members invited by the owner or an admin. You are responsible for the activity that occurs under your account and in your workspace.

5. Subscriptions and Billing

New workspaces start with a free 14-day trial. After the trial, a paid subscription is required to send new requests. If no paid plan is active when the trial ends, the workspace becomes read-only: existing data, submissions, and exports remain accessible, but new requests cannot be sent until a plan is active.

Paid plans are billed monthly through Stripe. You may cancel at any time from the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

6. Your Data

You retain ownership of the data you upload to and create within the Service, including customer records, submissions, certificates, and exports. We do not sell your data or use it for purposes unrelated to operating the Service. See our Privacy Policy for how we handle personal information.

You may export your workspace data at any time using the Service’s export feature. If your account is terminated, we will make a reasonable effort to provide your data upon request within 30 days.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.
  • Attempt to gain unauthorized access to the Service or any related systems.
  • Upload content that is harmful, fraudulent, or infringes on third-party rights.
  • Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
  • Resell access to the Service without our written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will meet your specific audit, tax, or legal requirements. The Service organizes documentation based on the decisions your team makes. It does not assess the legal sufficiency of those decisions or the documents you store. You should consult a qualified tax or legal professional for advice specific to your situation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service stops, but your data will remain available for download for a reasonable period as described in Section 6.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of [State], without regard to conflict of law principles. Any disputes will be resolved in the courts located in [County, State].
